Terms of Service.
A note before the legal language.
Most Terms of Service documents are written to make you give up. They’re long, dense, hostile, and designed to be ignored.
This one is a contract between you and Quoira. It needs to be legally durable, which means parts of it have to read like a contract. But we’ve tried to keep it in plain English where possible, to put the user-friendly clauses first, and to be explicit about what we owe you and what we don’t.
If anything below is unclear, email hello@quoira.ai and we’ll explain. If we ever change these terms, we’ll notify subscribers by email at least 30 days before the change takes effect.
1.Who is on each side of this agreement.
These Terms of Service (“Terms”) are a contract between you (referred to as “you” or “the user”) and Quoira LLC, a Delaware limited liability company (referred to as “Quoira,” “we,” “us,” or “our”).
By using Quoira, you agree to these Terms. If you don’t agree, please don’t use Quoira. If you’ve already started using it, you can cancel and delete your account at any time · see Section 8.
2.What Quoira is.
Quoira is a personal AI advisor service. It includes the iOS app, the Apple Watch surface, the web app at app.quoira.ai, the Chrome extension, and any other Quoira surface we operate.
The AI we call Atlas (or Vela, the alternate voice) is built on third-party large language models, principally Anthropic’s Claude. Atlas generates text and voice responses to your messages, maintains a memory of your conversations over time, makes predictions, generates reports, and provides other features described on quoira.ai/about and within the product itself.
Atlas is not a person. Atlas is not a substitute for professional advice of any kind. Section 11 (Disclaimers) covers this in detail.
3.Eligibility · who can use Quoira.
To use Quoira, you must be at least 18 years old. This applies to every Quoira plan and every user on every plan, including all members of a Family plan account.
Family plan members. The Family plan allows the account holder to add up to four additional family members or household adults. Every person added to a Family plan must be at least 18 years old, must agree to these Terms when they activate their account, and must use Quoira under their own account.
The account holder is responsible for the billing on the account and agrees that everyone they add is an adult who has consented to using Quoira. Adding a minor (anyone under 18) to a Family plan is a violation of these Terms and may result in suspension of the account.
Quoira is not for anyone under 18 at this time. We do not knowingly create accounts for or collect personal information from anyone under 18. If you believe an account has been created for a minor, please email hello@quoira.ai and we will close the account and delete associated data promptly.
Additional eligibility requirements. Regardless of age, you may not use Quoira if you are subject to U.S. economic sanctions, are located in a U.S.-sanctioned country, are on any U.S. government restricted-party list, or are otherwise legally prohibited from receiving the service.
If your jurisdiction sets a higher minimum age for entering into binding contracts, that higher age applies.
You may not create an account using false identity information. The account you create is yours and you are responsible for it.
4.Your account · what you owe us.
You’re responsible for:
- Keeping your password (or other authentication credentials) secure
- Notifying us promptly if you believe your account has been accessed by someone else
- All activity that occurs on your account
We’re responsible for:
- Storing your authentication credentials securely (see quoira.ai/security)
- Investigating account-compromise reports within 24 hours
- Helping you regain access to your account using reasonable identity verification
Sharing your account credentials with anyone else is a violation of these Terms.
Family plan account holders are additionally responsible for ensuring every member they add meets the eligibility requirements in Section 3 and for the billing on the account. Each Family plan member has their own account credentials and their own Quoira memory · the account holder does not have access to individual members’ conversations or data.
5.Subscription · what you owe us in money.
Quoira is a paid subscription service. Three plans are available at launch:
- Individual — $39.95 USD per month
- Student — $29.95 USD per month (proof of student status required)
- Family — $99.00 USD per month for up to 5 adult members (each must be 18 or older)
We may add new plans, change features within plans, or adjust prices in the future. If we raise prices for existing subscribers, we’ll notify you by email at least 30 days before the new price takes effect, and you’ll have the option to cancel before the increase rather than pay the new rate.
$39.95 a month. No surprise charges. No upsells. Cancel any time.
That commitment is binding, not marketing. We will not introduce surprise charges, hidden upsells, or coercive pricing changes during your active subscription.
Billing. Subscriptions are billed monthly in advance, on the same calendar day each month, beginning the date you subscribed. Payment is processed by Stripe. We accept the payment methods Stripe supports.
Free trials. If we offer a free trial, the trial period and any conditions will be stated at signup. After the trial, your card is charged the regular subscription amount unless you cancel before the trial ends.
Refunds. We do not offer prorated refunds for partial months. If you cancel mid-month, you retain access through the end of the current billing period and are not charged for the next period. In specific cases (billing errors, accidental duplicate charges, or extended service outages we caused), we will issue refunds at our discretion. Email hello@quoira.ai to request one.
Failed payments. If a payment fails, we’ll retry several times and notify you. If payment isn’t resolved within 14 days, we may suspend your account until payment is resolved. Your memory and data are not deleted during suspension.
6.Acceptable use · what you may not do with Quoira.
You agree not to:
- Use Quoira for any illegal purpose
- Try to extract, reverse-engineer, or replicate the underlying AI models or system prompts
- Attempt to circumvent rate limits, paywalls, or access controls
- Resell, sublicense, or otherwise commercialize access to Quoira without written permission
- Use Quoira to generate content that violates Anthropic’s, OpenAI’s, or ElevenLabs’s acceptable use policies (see their published policies; we may suspend accounts based on flagged outputs from these providers)
- Impersonate another person, including any Quoira team member or AI persona
- Submit content that is illegal, threatens violence against an identifiable person, sexualizes minors, or violates third-party intellectual property rights
- Attempt to overwhelm or compromise the Quoira service through automation, flooding, or other denial-of-service attacks
Violations may result in suspension or termination of your account at our discretion. Section 10 (Termination) covers this in more detail.
7.Your content · what you own and what we may do with it.
Everything you send to Atlas — your messages, voice clips, photos, documents — remains yours. We don’t claim ownership of it.
You grant Quoira a limited license to:
- Store your content on our infrastructure so Atlas can use it to generate responses
- Send your content to the AI providers necessary to generate responses (currently Anthropic, OpenAI for embeddings, ElevenLabs for voice synthesis)
- Display your content back to you within Quoira’s interfaces
This license exists only to operate the service. It does not allow us to:
- Sell, license, or otherwise commercialize your content
- Use your content to train AI models, including ours
- Share your content with parties not listed at quoira.ai/security (“Who else sees your data”)
The memory-ownership commitment applies:
Your substrate is yours. Export it any time. Delete it any time. We’ll delete everything when you cancel. No data held to coerce you back.
Section 8 explains export and deletion in detail.
Anonymous community content (The Moment, Wisdom Layer). If you choose to participate in these features, content you contribute is published anonymously. Once published anonymously, that content may remain visible to other users in aggregate (e.g., as part of a daily collage or the Wisdom Layer feed) even after you delete your account, because there’s nothing tying the content to you. You can choose not to participate in these features.
8.Export and deletion · what we owe you.
Export. You can export your complete Quoira memory at any time, paid or unpaid, before or after cancellation. Go to Settings → Your memory in the app. You’ll receive a download link by email containing your data in a portable format.
Cancellation. You can cancel your subscription at any time. Go to Account → Manage subscription in the app. Cancellation takes effect at the end of your current billing period. You keep full access until then.
Account deletion. To delete your account, email hello@quoira.ai and we’ll walk you through the 30-day grace period and final deletion. After confirmation:
- Your account enters a 30-day grace period
- Atlas stops engaging with you immediately
- Your data is preserved and recoverable during the grace period
- On day 31, your data is permanently deleted from all our systems
If you cancel your subscription, the same 30-day grace period applies automatically — everything is deleted on day 31 unless you reactivate within the grace window.
Backups. Our backup systems retain encrypted backups for up to 7 days. After permanent deletion, your data is removed from active systems immediately and from backup systems within 7 days of the backup expiring. After day 38 from your delete request, no copy of your data exists in any Quoira system.
9.Intellectual property.
Quoira (the software, the brand name, the visual design, the AI personas Atlas and Vela, the deck and marketing materials) is owned by Quoira LLC. You may not copy, modify, distribute, sell, or create derivative works based on the Quoira software, branding, or proprietary content.
Your right to use Quoira is a limited, non-exclusive, non-transferable license that exists only while your subscription is active and you are in compliance with these Terms.
Atlas’s responses — the actual text Atlas generates in your conversations — are not separately owned by Quoira. You may quote, paraphrase, or otherwise use Atlas’s responses to you in your own work, life, or other contexts without restriction.
10.Termination · when this agreement ends.
You can terminate at any time by canceling your subscription and deleting your account (Section 8).
We can terminate or suspend your account if:
- You materially breach these Terms
- You engage in fraud, abuse, or behavior that endangers other users or Quoira’s infrastructure
- Required to do so by law or valid legal process
- Continued service would expose Quoira to legal liability
In most cases we will notify you and give you a chance to address the issue before terminating. In urgent cases (active abuse, fraud, court-ordered suspension), we may terminate without prior notice.
If we terminate your account for cause, you forfeit the remainder of the current billing period and are not entitled to a refund. We will still process your data-deletion request per Section 8 within the standard timeline.
If we discontinue Quoira entirely (the service shuts down), we will:
- Notify subscribers by email at least 60 days before the shutdown
- Provide an export window of at least 90 days during which you can download your full memory
- Refund the unused portion of any prepaid annual subscriptions (if applicable)
- Honor the Heritage Document plan referenced in our v1.1 commitments
11.Disclaimers · what Quoira is and isn’t.
Quoira is an AI advisor, not a professional service.
Atlas can listen, observe patterns, make predictions, and provide thoughtful responses. Atlas cannot:
- Diagnose or treat any medical, mental health, or psychological condition
- Provide legal advice or counsel
- Provide regulated financial, tax, or investment advice
- Replace a doctor, therapist, lawyer, accountant, or any other professional
If you are in crisis — suicidal thoughts, self-harm, medical emergency, or other immediate danger — please contact a qualified professional or emergency services. Atlas can listen, but Atlas cannot intervene.
Atlas can be wrong. Atlas is built on probabilistic models that sometimes produce inaccurate or inappropriate responses. The Predictions Engine exists in part to track Atlas’s own accuracy. You should not rely on Atlas for decisions that have significant consequences without independent verification.
Quoira is provided “as is.” To the maximum extent permitted by law, Quoira disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. We don’t guarantee Quoira will be uninterrupted, error-free, or that all defects will be corrected.
12.Limitation of liability.
To the maximum extent permitted by law:
Quoira’s total cumulative liability to you for any claim arising out of or related to these Terms or your use of Quoira is limited to the greater of:
- The amount you paid Quoira in the 12 months preceding the event giving rise to the claim, or
- One hundred U.S. dollars ($100)
Quoira is not liable for indirect, incidental, consequential, special, exemplary, or punitive damages of any kind, including lost profits, lost revenues, lost data (beyond what Section 8 explicitly covers), or business interruption · even if Quoira has been advised of the possibility of such damages.
Some jurisdictions don’t allow the limitation or exclusion of liability for incidental or consequential damages, so the above limitation may not apply to you to the extent prohibited by law.
13.Indemnification.
You agree to defend, indemnify, and hold harmless Quoira LLC, its members, officers, employees, and agents from any claims, damages, losses, costs, or expenses (including reasonable attorney fees) arising from:
- Your violation of these Terms
- Your violation of any applicable law
- Your violation of any third party’s rights
- Content you submit to Quoira that infringes another party’s intellectual property rights
This indemnification does not apply to claims arising from Quoira’s own negligence or willful misconduct.
14.Dispute resolution · the legal-fight clauses.
Most disagreements can be resolved by emailing hello@quoira.ai and talking through it. Please do that first.
If informal resolution doesn’t work, here’s the process.
Governing law. These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws principles.
Arbitration. Any dispute arising out of or related to these Terms or your use of Quoira that cannot be resolved through informal discussion shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. The arbitration shall be conducted in English. The seat of the arbitration is Wilmington, Delaware, though hearings may be conducted by videoconference if both parties prefer.
Class action waiver. You and Quoira agree that disputes will be resolved individually, not as part of any class, consolidated, or representative action. Neither party may participate in a class action or class-wide arbitration against the other.
Opt-out right. You have the right to opt out of binding arbitration and the class-action waiver by sending written notice to legal@quoira.ai within 30 days of first agreeing to these Terms. The notice must include your name, email address associated with your Quoira account, and a clear statement that you wish to opt out of arbitration. If you opt out, disputes will be resolved in the courts of Delaware instead.
Exceptions to arbitration. Either party may seek injunctive relief in court for actual or threatened infringement of intellectual property rights, breach of confidentiality, or other matters where damages would not be an adequate remedy.
Small-claims exception. Either party may pursue claims in small-claims court if the claim qualifies for small-claims jurisdiction.
15.Changes to these Terms.
We may update these Terms from time to time. If we make material changes:
- We’ll notify subscribers by email at least 30 days before the new Terms take effect
- The updated Terms will be posted at this URL with an updated effective date
- Continued use of Quoira after the effective date means you accept the updated Terms
If you don’t agree to the updated Terms, you can cancel your subscription and delete your account before the effective date (see Section 8).
Non-material changes (typo fixes, clarifications that don’t change rights or obligations) may be made without advance notice. We’ll note the effective date of any update at the top of this page.
16.Miscellaneous.
Entire agreement. These Terms, together with our Privacy Policy at quoira.ai/privacy and any plan-specific terms presented at signup, constitute the entire agreement between you and Quoira regarding the service.
Severability. If any provision of these Terms is found unenforceable by a court of competent jurisdiction, the remaining provisions stay in full effect.
No waiver. Our failure to enforce any provision of these Terms is not a waiver of our right to enforce it later.
Assignment. You may not assign or transfer these Terms or your account to anyone else without our written permission. We may assign these Terms to a successor entity (for example, in connection with a merger or acquisition), in which case we’ll notify subscribers by email at least 30 days before the assignment takes effect, and you’ll have the option to cancel before the change.
Force majeure. Quoira is not liable for failures or delays caused by events outside our reasonable control, including natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet backbone outages, or failures of third-party providers (Supabase, Railway, Vercel, Anthropic, OpenAI, ElevenLabs, Stripe).
Notices. Any legal notice from you to Quoira must be sent to legal@quoira.ai to be effective. We’ll send legal notices to you at the email address associated with your Quoira account.
